GeoMine Partner Terms

Part A. Partner Agreement

This Partner Agreement is between GeoMine Business Analytics LLC ("GeoMine", "we") and the person or organisation approved as a partner ("Partner", "you"). It includes the Program Policy (Part B), the Brand & Disclosure Guidelines (Part C), the community group terms (Part D) and the Partner Privacy Notice (Part E).

• "Qualified Referral": a new member or business that signs up with your code or through your link and is attributed to you under section 5.
• "Qualified User": a new member who signs up with a creator's code or link, verifies their email and completes 3 mining sessions (visits) at participating businesses.
• "Paid Conversion": a payment GeoMine actually collects for a paid business plan from a Qualified Referral.
• "Net Revenue": the amount GeoMine receives for a Paid Conversion after app-store fees, taxes, refunds, chargebacks and discounts.
• "Commission": the amount owed to you under the Program Policy for a Paid Conversion.
• "Hold Period": the waiting time after a Paid Conversion before its Commission can be approved.
• "Prohibited Methods": the promotion methods listed in section 11.
• "Marks": GeoMine's names, logos and brand assets.
• "Content": anything you create to promote GeoMine.

To join you must be at least 18, live in the United States, have a valid taxpayer ID, give accurate information and keep it current. One account per person or organisation. GeoMine employees and members of their households can't join. We decide whether to accept an application and may decline any application. We accept up to 3 creators per town; when a town is full we may waitlist new creator applications.

Your appointment is non-exclusive. You act as an independent contractor and have no authority to make promises or sign anything on GeoMine's behalf.

We issue your partner code (for example MINE-XXXXXX) and share links. Don't alter them, sell them or let anyone else use them. We may replace a code, for example if it is misused.

• A code typed at sign-up takes priority over a link click.
• A link click counts for 30 days.
• The first code is locked to the account at sign-up and doesn't change later.
• No retroactive credit, and no credit for people or businesses who already had a GeoMine account.
• Our records decide attribution. If you think a referral is missing, tell us within 30 days of the sign-up.

Commission rates and rules are in the Program Policy (Part B). Business commission is calculated on Net Revenue, for up to the first 12 months of each referred business's paid plan.

Creators also earn $0.50 for each Qualified User. App installs and sign-ups on their own still don't pay: a sign-up only earns once it becomes a Qualified User (verified email and 3 completed visits, as defined in section 1). Each Qualified User commission is held for 30 days before it can be paid out.

Each Qualified User must be a real, separate person making genuine visits. Self-referrals, fake or duplicate accounts, disposable email addresses, GPS spoofing and other faked visits don't count. We may reverse a Qualified User commission we find wasn't genuine, including after it was paid (section 7).

There is no commission on app installs, sign-ups that don't become Qualified Users, free activity, free trials, member plan purchases, your own purchases or accounts, a business you own or work at, or existing users.

Commissions are paid in US dollars. Where we offer it, you may choose GM Points instead (Part B).

• Each Commission waits for its Hold Period before it can be approved (Part B).
• Approved balances are paid monthly once they reach the $25 minimum.
• If a payment is refunded, charged back or found to be fraudulent, its Commission is reversed. If it was already paid, we take it from your next payout or ask you to repay it.
• We may hold payments for up to 90 days while we look into suspected fraud or a breach.
• Commissions earned through fraud or Prohibited Methods are forfeited.

We need a completed W-9 (through Stripe or our tax form) before your first payout. You are responsible for your own taxes. We issue a Form 1099 when your payments reach the IRS reporting threshold, and we apply backup withholding where the law requires it. GM Points paid to you count toward that total at their dollar value.

Be truthful and share your honest experience. Use the approved phrases in Part C. Never make earnings or income claims, never describe GeoMine or GM Points as money or digital currency, always write "Prepaid Mastercard® gift card" (no card logos or issuer names), and don't use discount or comparison pricing. Follow the law and each platform's rules.

Disclose your connection to GeoMine in every piece of Content: "#ad" or "Paid partnership with GeoMine" at the start, said out loud in video, plus the platform's paid-partnership label. Requirements by format:

You agree that we may review your Content. If we ask you to fix a disclosure, fix it within 48 hours.

• Bidding on "GeoMine" or similar terms in search ads, or using GeoMine in domains, handles or app names.
• Coupon, deal or cash-back sites, browser extensions and offer walls.
• Paying or rewarding people to install, sign up or click.
• Spam: unsolicited email, texts or calls, or buying contact lists.
• Cookie stuffing, bots, fake accounts and click fraud.
• Fake reviews, or offering anything for a review or rating.
• Sub-affiliates, or paying others to promote under your code.
• Posing as GeoMine staff.
• Content aimed at minors, or next to adult, gambling or digital-currency content.
• Misleading statements about Apple, Google or app-store pricing.
• Paid ads of any kind without our written approval.

We may ask to approve sponsored posts, Stories and livestreams before they go live. If we ask you to edit or remove Content, do so within 48 hours. Remove GeoMine Content after this Agreement ends if we ask.

We give you a limited, revocable, non-exclusive licence to use the Marks as the guidelines allow. Don't use Mastercard, Apple or Google marks except as those companies permit. Don't register any GeoMine name, domain or handle.

You own your Content. You let GeoMine repost and quote it, with credit, to promote the Partner Program. Using your Content in paid ads needs a separate written agreement.

You see aggregate counts only. Don't try to identify anyone from them, and don't collect personal information about GeoMine members for the program without our written approval.

Cooperate with our questions about your referrals. We decide in good faith whether activity is fraudulent, and may reverse or forfeit the related Commissions.

Either side may end this Agreement at any time with notice. We may end it immediately for a breach or fraud. When it ends, your links stop working. Valid Commissions are paid after their Hold Period, except when we end the Agreement for cause.

You confirm that you can enter this Agreement, that your information is accurate, that your Content is original, and that you are not on any US sanctions list.

You will cover GeoMine for claims caused by your Content, your disclosures, your breach of law or this Agreement, or infringement of someone else's rights.

GeoMine's total liability is limited to the Commissions paid to you in the 12 months before the claim. Neither side is liable for indirect or consequential damages.

You control how, when and where you promote GeoMine. You use your own tools, set your own schedule, may promote other companies, and receive no benefits or expense reimbursement.

Keep non-public program information, such as unreleased features and briefs, confidential.

We may change these terms with 15 to 30 days' notice. Changes apply going forward only. If you keep promoting GeoMine after a change takes effect, you accept it.

California law applies. Disputes go to the courts of Fresno County, California.

You accept these terms by ticking the box when you apply. We record the terms version, the time, your IP address and your user ID. GeoMine may assign this Agreement; you may not. This is the entire agreement on the subject, and an unenforceable clause doesn't affect the rest.

Part B. Program Policy

Rates are snapshotted on each commission line when it is created.

• Payments through Stripe: 30 days.
• Payments through the App Store: 45 days.
• Business commissions: approved only after the business's 2nd paid invoice, plus 30 days.

Stripe Connect Express (recommended), PayPal where offered, or GM Points where offered (1,000 GM = $1 in gift-card value). Payouts run monthly with a $25 minimum. A payout-method change holds payouts for 72 hours.

Bronze, Silver and Gold tiers are based on retained, paying customers over a rolling 90 days, never on raw sign-ups. Thresholds are shown on your dashboard.

Creators must post at least one video about GeoMine each week and log its public link on the partner dashboard. Every video follows the disclosure rules in Part C.

If no video is logged for 10 days, the creator account is paused. New commissions are held, not lost, while it is paused, and the account switches back on automatically as soon as a new video is logged.

On iPhone, a partner code is for attribution only. It gives the person who uses it no discount, bonus or GM Points. Any iPhone discount must be an Apple Offer Code.

Each referred member or business is credited to one referrer only.

Product descriptions

• Earn GM Points when you visit participating local businesses. Visits are GPS-verified.

• Use the Pin-G mark and wordmark from the asset library, unaltered.
• Don't add digital-currency symbols, card-network logos or app-store badges you didn't get from us.
• Don't imply GeoMine endorses your other products.

Part D. Community groups

• Payments go only to an account in the organisation's name and EIN, never to an individual.
• GeoMine pays the organisation a referral fee as a marketing partner. A sign-up is never a "donation".
• Minors must not appear as paid endorsers.

Part E. Partner Privacy Notice (summary)

• What we collect: your application, contact details, payout details and tax information.
• Why: to review your application, attribute referrals, pay you and meet tax law.
• Retention: tax and payout records for 7 years.
• Security: tax IDs are encrypted, or held by Stripe when you use Stripe Connect.
